Vendimark ("we," "us," or "our") operates a business-to-business (B2B) supply marketplace that connects independent businesses ("Buyers") with product suppliers and distributors ("Suppliers"). Vendimark is not itself a supplier, seller, or party to any transaction between Buyers and Suppliers. We provide the platform infrastructure, payment processing, and order management tools that facilitate these transactions.
To use Vendimark, you must:
Vendimark reserves the right to approve or reject any account application at its sole discretion. We may request additional verification information at any time.
Buyer accounts are for businesses that wish to purchase products and supplies through the Vendimark marketplace. Buyer accounts are free to create. A 2% platform service fee is charged on each order at checkout. Buyer accounts require manual approval before marketplace access is granted.
Supplier accounts are for businesses that wish to list products and fulfill orders through Vendimark. Suppliers pay a monthly subscription fee starting at $99/month. Suppliers keep 100% of all sales — Vendimark does not deduct commissions from order revenue. Suppliers must connect a valid bank account via Square to receive payments.
Account owners may invite additional team members (Employees and Managers) to access their account. Account owners are responsible for all activity conducted by team members under their account.
Buyers are charged a 2% platform service fee on each order, calculated on the product subtotal. This fee is displayed transparently at checkout before payment is confirmed. Card processing fees (2.6% + $0.10 per transaction, charged by Square) are passed through to the Buyer and displayed separately at checkout.
Suppliers are billed monthly based on their selected plan. Subscription fees are due at the start of each billing period. Failure to pay may result in suspension of the Supplier's account and removal from the marketplace.
All payments are processed through Square. By using Vendimark, you agree to Square's applicable terms of service. When an order is placed, payment is processed immediately. Supplier payouts are deposited directly to the Supplier's connected bank account via Square's payment infrastructure. Vendimark does not hold, escrow, or delay supplier funds beyond what Square's standard processing timeline requires.
Vendimark does not guarantee refunds for completed transactions. Disputes regarding product quality, delivery, or fulfillment are between the Buyer and Supplier directly. Vendimark may, at its sole discretion, assist in mediating disputes but is not obligated to do so and is not liable for the outcome.
Suppliers are responsible for ensuring that all product listings, pricing, availability, and descriptions are accurate and current. Listing products that are unavailable or misrepresenting product specifications is grounds for account suspension.
Suppliers who confirm an order are obligated to fulfill it as described. Repeated failures to fulfill confirmed orders may result in account suspension or removal from the platform.
You may not use Vendimark to:
Suppliers are responsible for all delivery logistics unless otherwise specified in the product listing. Delivery fees, if any, are set by the Supplier and displayed to Buyers at checkout. Vendimark does not operate delivery infrastructure and is not responsible for delivery delays, damage, or non-delivery by Suppliers.
Vendimark requires Buyer accounts to provide an Employer Identification Number (EIN) and business address for verification purposes. This information is used to confirm that accounts represent legitimate businesses. Providing false verification information is grounds for immediate account termination and may be reported to relevant authorities.
The Vendimark name, logo, platform design, and software are the intellectual property of Vendimark and may not be copied, reproduced, or used without express written permission. Product listings remain the intellectual property of the Supplier who created them.
Vendimark is a marketplace platform and is not a party to transactions between Buyers and Suppliers. To the maximum extent permitted by law, Vendimark's liability to any user for any claim arising from use of the platform shall not exceed the greater of (a) the total platform fees paid by that user in the three months preceding the claim, or (b) $100.
Vendimark is not liable for: product quality or defects; delivery failures or delays; Supplier insolvency or inability to fulfill orders; losses arising from platform downtime or technical errors; or any indirect, incidental, or consequential damages.
Vendimark may suspend or terminate any account at any time for violation of these Terms, non-payment of fees, fraudulent activity, or at our sole discretion with reasonable notice. Users may close their account at any time by contacting us. Upon termination, outstanding obligations (including payment for completed orders) remain enforceable.
Vendimark may update these Terms of Service from time to time. Material changes will be communicated to active users via email or in-platform notification with at least 14 days notice. Continued use of the platform after the effective date of updated terms constitutes acceptance.
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Nassau or Suffolk County, New York.
